Photo Release: Verbal/Signed Agreement

RELEASE AND ASSIGNMENT
As of the date set forth below, I have read, understand and agree to this Release and Assignment (“Assignment”) in favor of DubVnightlife.com, whose principal place of business is 264 Grant Ave, Morgantown, West Virginia. I hereby irrevocably consent to the following:

(1) I agree to be the subject of one or more photographs or similar reproductive images of me and/or my likeness, and/or agree to permit my real/personal property to be the subject of one or more photographs or similar reproductive images, whether such image is captured by means of a still camera, video camera, sketch or other means (the “Images”).
(2) I agree to the unrestricted, perpetual, royalty-free use by DubVnightlife.com of the Images for advertising and marketing purposes, and other purposes of trade, in and on any form of media, including without limitation, still photographs, transparencies, motion pictures, television, video, the Internet or other similar media (collectively, the “Media”). I agree that DubVnightlife.com in its sole discretion has the right to use the Images without crediting me, or my real/personal property, as the subject of the Images. If DubVnightlife.com in its sole discretion decides to credit me as the subject of such Images, however, I also agree to the unrestricted, perpetual, royalty-free use by DubVnightlife.com of my own name and other information I provide to DubVnightlife.com in conjunction with DubVnightlife.com’s use of the Images.
(3) I release DubVnightlife.com, its employees, directors, officers, agents, affiliates, successors and assigns from any and all claims of damages for libel, slander, invasion of privacy or any other claim whatsoever based on use of the Images or Media. I also waive the right to inspect, restrict use of, or otherwise approve any Images or Media.
(4) I assign to DubVnightlife.com any and all right, title and interest I may have in and to the Images and Media, including without limitation copyright, privacy, publicity and any and all other intellectual property or proprietary rights. Upon request, I agree to sign any documents needed to confirm DubVnightlife.com’s ownership and rights in the Images and Media. DubVnightlife.com shall have the unfettered right to assign any and all of its rights to the Images, or any portion thereof, to an affiliate, successor in interest, or any third party whatsoever.
(5) I agree that this Assignment shall be governed by and interpreted in accordance with the laws of the State of Maryland (without regard to its principles of conflicts of law), and that that I submit to the exclusive jurisdiction of the state and/or federal courts located within the State of West Virginia for any claim related to this Assignment, Images or Media. This Assignment contains the ENTIRE AGREEMENT between the parties hereto, and the terms of this Assignment are contractual and not a mere recital. I acknowledge that this Assignment is a binding legal document and defines significant rights and obligations. I have read and understand all the terms and conditions of this Assignment.
